Terms of Service

These terms govern your use of gpgalaxy.com, the GP Galaxy client portal at portal.gpgalaxy.com, and our SMS/text messaging — all operated by GPTech LLC d/b/a GP Galaxy (“GP Galaxy,” “we,” “us”). By using our websites or services, you agree to these terms.

In plain English up front: the terms for the managed IT services you purchase live in the service agreement you accept at signup. This page covers everything around it — the website, your portal account, acceptable use, and texting.

1. Our services

GP Galaxy provides managed IT services under the service agreement and plan terms presented and accepted during signup. Plan inclusions, pricing, response-time commitments, and billing rules are described on our pricing page and in your service agreement. If anything on this page conflicts with your service agreement, the service agreement wins.

2. Portal accounts

You’re responsible for the accuracy of the information you provide at signup and for keeping your account credentials secure. Access to the portal is scoped to your organization; you agree not to attempt to access any other client’s data or to probe, scan, or test the portal’s security except with our written permission. Notify us at support@gpgalaxy.com immediately if you suspect unauthorized access to your account.

3. Acceptable use

You agree not to use our websites, portal, AI assistant, or messaging to: violate any law; infringe anyone’s rights; transmit malware or interfere with the operation of our systems; misrepresent your identity or affiliation; or resell access without our written agreement. We may suspend access that we reasonably believe threatens the security or integrity of our systems or other clients, and we’ll tell you when we do.

4. Billing and payments

Fees, billing frequency, metered-support mechanics, and minimums are stated on the pricing page and in your service agreement. Payments are processed by our payment processor; we don’t store your card details. Plans are month-to-month unless your agreement says otherwise.

5. Intellectual property

The GP Galaxy name, logo, website content, and portal software are ours or our licensors’. You get a limited, non-exclusive, non-transferable right to use the portal for your organization’s internal business purposes while you’re a client. Your data remains yours.

6. Third-party services

Our services incorporate third-party platforms (for example, remote monitoring, security, backup, and communications providers). We select and manage them, but we don’t control them, and their availability can affect ours. Where a third party’s terms necessarily apply to a service you use (such as telephone carriers for SMS delivery), those terms apply in addition to these.

7. Disclaimers

The websites, portal, and AI assistant are provided “as is” and “as available.” The AI assistant is a guidance tool: it can make mistakes, and its suggestions aren’t a substitute for the response-time commitments in your plan or for professional judgment on critical decisions. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement with respect to the websites and portal. Service-level commitments for managed services are stated in your service agreement, not implied by this page.

8. Limitation of liability

To the maximum extent permitted by law, GP Galaxy’s total liability arising out of or related to use of the websites, portal, or messaging is limited to the amounts you paid us for services in the three (3) months before the event giving rise to the claim, and we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Nothing here limits liability that cannot be limited under applicable law. Liability terms for managed IT services are governed by your service agreement.

9. Indemnification

You agree to indemnify and hold GP Galaxy harmless from claims arising out of your violation of these terms, your misuse of the websites or portal, or your violation of law or third-party rights in connection with them.

10. SMS/Text Messaging Terms

Consent to receive messages. By providing your mobile phone number to GP Galaxy, you consent to receive SMS or MMS messages from us. These may include service and support notifications (such as ticket updates and maintenance windows), account and billing alerts, and other communications related to the services you receive from us. Messages may be automated or sent by a person. Consent to receive text messages is not a condition of purchasing any GP Galaxy service. Message frequency varies. Standard message and data rates from your carrier may apply.

Your number, your responsibility. You represent that you are the authorized subscriber or owner of any phone number you provide to us. If your number changes, notify us at support@gpgalaxy.com before the change takes effect so we don’t message the number’s next owner.

Opting out. Text STOP, END, CANCEL, UNSUBSCRIBE, or QUIT in reply to any message from us to stop receiving texts, or email support@gpgalaxy.com. You’ll receive one final message confirming your opt-out. Opting out of text messages does not affect your GP Galaxy services — we’ll simply reach you by email and the client portal instead.

Carriers. Participating U.S. carriers include AT&T, T-Mobile, Verizon Wireless, U.S. Cellular, Boost, Cricket, MetroPCS, and others. Not all carriers support all messaging features, and carriers are not liable for delayed or undelivered messages.

Service changes. We may modify or discontinue SMS messaging, with or without notice, at any time.

SMS indemnification. You agree to indemnify and hold GP Galaxy harmless from claims, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your provision of a phone number you do not own, your failure to notify us of a number change, or otherwise related to the Telephone Consumer Protection Act (TCPA) or state-law equivalents.

Eligibility. By participating, you affirm you are at least eighteen (18) years of age, have a two-way-messaging-capable wireless device, and have text messaging service through a participating carrier. Feature compatibility and availability vary by carrier and device.

11. Changes to these terms

We may update these terms from time to time. We’ll post changes on this page with a new effective date; material changes affecting active clients will also be communicated by email or the portal. Continued use after changes take effect constitutes acceptance.

12. Governing law

These terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law rules. Venue for disputes arising under these terms lies in the state or federal courts serving Oldham County, Kentucky.

13. Severability

If any provision of these terms is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest of the terms remain in full force.
